These Terms of Service (“Terms”) govern your use of our Public Relations (PR) services, including Media Coverage, Content Creation, Social Media Engagement, Research & Analysis, Crisis Management, and SEO/AEO services. By engaging our services, you agree to comply with these terms.

1. Definitions

  • “Client” refers to any individual, company, or entity that engages our PR services.
  • “Services” refer to all PR-related activities provided by Aya Media, Inc., including but not limited to media coverage, content creation, SEO/AEO, and crisis management.
  • “Confidential Information” means any non-public business information shared between the Client and Aya Media, Inc.

2. Scope of Services

Aya Media, Inc. offers customized PR solutions. The details, timeline, and deliverables for each project will be outlined in an individual agreement or proposal between the Client and Aya Media, Inc.

2.1 Media Coverage
We leverage our media connections to provide press releases, interviews, and coverage. However, publication in third-party media outlets is not guaranteed, as editorial discretion is at the sole discretion of the media platform.

2.2 Content Creation
We create compelling PR content, including press releases, articles, and digital media. The Client agrees to review and approve all content before publication.

2.3 Social Media Engagement
We provide strategic social media campaigns, influencer collaborations, and engagement strategies. The Client is responsible for providing brand guidelines to ensure content alignment.

2.4 Research & Analysis
We conduct industry research, audience analysis, and competitor benchmarking. Our insights are recommendations based on data, but results may vary depending on market conditions.

2.5 SEO/AEO Optimization
We optimize online content for better visibility on search engines and answer engines. However, we do not guarantee specific rankings or algorithm performance.

2.6 Crisis Management
We offer brand reputation management and crisis response strategies. While we aim to minimize negative publicity, we cannot guarantee complete removal of harmful content from third-party platforms.

3. Payment Terms

  • Clients agree to pay Aya Media, Inc. according to the pricing outlined in their individual service agreement.
  • Payments must be made [payment terms: upfront, in milestones, or after completion].
  • Late payments may result in service delays, penalties, or termination of services.

4. Confidentiality Agreement

Both parties agree to keep all proprietary and business-sensitive information confidential. Aya Media, Inc. will not disclose Client details to third parties without written consent, except when required by law.

  • All original content created by Aya Media, Inc. remains the Client’s property upon full payment.
  • If third-party assets (e.g., stock images, licensed software) are used, they remain subject to their respective licenses.

6. Service Limitations & Disclaimer

  • Aya Media, Inc. does not guarantee specific outcomes from PR campaigns.
  • While we strive for the highest media exposure, press features and SEO rankings depend on external factors beyond our control.
  • Crisis management services are damage control strategies and do not guarantee removal of all negative press.

7. Code of Ethics & Professional Conduct

  • The Client agrees to provide truthful information and adhere to ethical PR practices.
  • Aya Media, Inc. reserves the right to decline services for misleading, unethical, or harmful campaigns.

8. Termination & Resignation Notice

  • Either party may terminate the agreement with [insert notice period, e.g., 14 or 30 days] written notice.
  • If termination occurs before project completion, the Client is responsible for payment of completed work.
  • Aya Media, Inc. reserves the right to terminate services due to non-compliance with these terms.

9. Liability & Indemnification

  • The Client agrees to indemnify Aya Media, Inc. against any legal claims arising from the use of PR services.

10. Future Benefits & Event Participation

  • As part of our engagement, the Client may receive invitations to industry events and networking opportunities.
  • Future travel-related PR activities will be discussed and agreed upon separately.

11. Dispute Resolution

  • Any disputes shall first be resolved through negotiation or mediation.
  • If unresolved, disputes shall be settled under the laws of [Your Jurisdiction].
